1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ElseandIF ("Company", "we", "us", or "our"), governing your access to and use of the NoAdCode platform, website (noadcode.com), WordPress plugin, APIs, and all related services (collectively, the "Services").

By creating an account, installing our plugin, or using our Services, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into this agreement
• If acting on behalf of an organization, you have authority to bind that organization

2. Description of Services

NoAdCode provides a WordPress plugin and cloud platform that enables publishers to:

• Connect and manage Google Ad Manager accounts
• Configure and deploy ad units on WordPress websites
• Access analytics and reporting for ad performance
• Utilize various ad formats (display, video, native, etc.)

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration

3.1 Account Creation

To use certain features, you must create an account using Google OAuth. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or unlawful activities.

4. Subscription and Payment

4.1 Subscription Plans

NoAdCode offers various subscription tiers (Free, Plus, Pro, Enterprise) with different features and domain limits. Plan details are available on our website.

4.2 Payment Processing

Payments are processed securely through Razorpay. By subscribing, you authorize us to charge your payment method for recurring fees. All fees are in the currency specified at checkout.

4.3 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless cancelled before the renewal date.

4.4 Refund Policy

Refunds may be provided at our discretion within 14 days of initial purchase if you have not substantially used the Services. Contact support@noadcode.com for refund requests.

4.5 Price Changes

We may modify pricing with 30 days' notice. Existing subscribers will be notified before any price changes take effect on their next billing cycle.

5. Acceptable Use

5.1 Permitted Use

You may use NoAdCode Services solely for lawful purposes and in accordance with these Terms. The Services are intended for managing Google Ad Manager integrations on WordPress websites you own or have authorization to manage.

5.2 Prohibited Activities

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Violate Google Ad Manager policies or any third-party terms of service
• Engage in click fraud, impression fraud, or any form of ad fraud
• Attempt to reverse engineer, decompile, or disassemble our software
• Circumvent any security features or access restrictions
• Use automated tools to scrape, crawl, or access the Services
• Transmit viruses, malware, or any harmful code
• Interfere with or disrupt the Services or servers
• Impersonate others or misrepresent your affiliation
• Use the Services on websites containing illegal, adult, or malicious content
• Share, resell, or sublicense your account or access credentials

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, code, designs, text, graphics, logos, and other content, are owned by ElseandIF and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services solely as permitted by these Terms.

6.2 Restrictions

You may NOT:

• Copy, modify, or create derivative works of our software
• Distribute, sell, lease, or sublicense the Services
• Remove any copyright or proprietary notices
• Use our trademarks without written permission

6.3 Your Content

You retain ownership of content you create using the Services. By using the Services, you grant us a license to process your data as necessary to provide the Services.

7. Reselling Restrictions

Unless you have a written partnership agreement with us:

• You may NOT resell, white-label, or redistribute NoAdCode Services
• You may NOT offer NoAdCode as part of a managed service without authorization
• Agency accounts are limited to managing client websites, not reselling the platform

8. Third-Party Services

8.1 Google Ad Manager

NoAdCode integrates with Google Ad Manager. Your use of GAM is subject to Google's terms of service and policies. We are not responsible for GAM availability, changes, or policy enforcement.

8.2 Razorpay

Payment processing is provided by Razorpay. Your use of payment services is subject to Razorpay's terms and privacy policy.

8.3 WordPress

Our plugin operates within the WordPress environment. We are not affiliated with WordPress/Automattic, and WordPress-related issues may affect plugin functionality.

You agree to indemnify, defend, and hold harmless ElseandIF and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you publish using the Services

12. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Please review our Privacy Policy (India) or Privacy Policy (USA).

13. Termination

13.1 Termination by You

You may cancel your subscription and stop using the Services at any time through your account settings or by contacting support.

13.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Services

13.3 Effect of Termination

Upon termination, your right to use the Services ceases. Data may be deleted according to our retention policies. Provisions that should survive termination (limitations of liability, indemnification) will remain in effect.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@noadcode.com to attempt informal resolution of any dispute.

14.2 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.3 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Services with at least 30 days' notice. Your continued use after changes take effect constitutes acceptance.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ElseandIF regarding the Services.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

16.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights freely.
